1. Acceptance of Terms

By accessing or using Zadro.AI ("Zadro.ai," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Zadro.ai provides a B2B lead intelligence SaaS API that generates strategic sales briefs and company research reports ("Service"). The Service accepts company domain names and prospect context as inputs and returns structured intelligence outputs including company summaries, sales angles, market intelligence, and source attribution.

Service Components

Research API: RESTful API endpoint for programmatic lead intelligence generation
Web Dashboard: Browser-based interface for interactive research requests
Public Demo: Limited trial access for evaluation purposes
Result Caching: 30-day caching of previously generated intelligence reports

3. Account Registration and Security

3.1 Account Creation

To use the Service beyond the public demo, you must create an account by providing accurate and complete information. You agree to:

Provide truthful, current, and complete registration information
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access or security breach

3.2 API Keys

API access requires generation and use of API keys through your account dashboard. You are responsible for:

Maintaining the confidentiality of your API keys
All requests made using your API keys
Immediately revoking compromised API keys
Not sharing API keys with unauthorized third parties

3.3 Organizational Accounts

Enterprise and team subscriptions operate under organizational accounts. Organization administrators are responsible for managing user access, permissions, and usage within their organization.

4. Acceptable Use Policy

4.1 Permitted Use

The Service is designed for legitimate B2B sales intelligence and lead research purposes. You may use the Service to:

Research companies for sales qualification and outreach
Prepare for discovery calls and client meetings
Generate strategic sales briefs and account intelligence
Enrich CRM data with company intelligence
Analyze market trends and competitive landscapes

4.2 Prohibited Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable laws
Attempt to reverse engineer, decompile, or derive source code from the Service
Circumvent rate limits, usage restrictions, or technical safeguards
Resell, sublicense, or redistribute Service outputs without authorization
Submit malicious inputs designed to disrupt Service functionality
Use the Service to harass, stalk, or threaten individuals
Generate intelligence for illegal surveillance or unauthorized background checks
Submit generic email domains (gmail.com, yahoo.com, etc.) for research
Scrape, crawl, or systematically download Service outputs in violation of rate limits
Use automated tools to abuse the public demo beyond posted limits

4.3 Rate Limits and Fair Use

The Service implements rate limits to ensure system stability and fair access. Current limits include:

API Requests: 100 requests per minute per organization
Public Demo: 3 searches per session without authentication

Excessive or abusive use may result in temporary throttling, account suspension, or termination at our discretion.

5. Data and Privacy

5.1 Input Data

When using the Service, you submit input data including:

Company domain names
Optional prospect context (company name, contact name, location, phone, requirements)
Selected industry vertical

You represent and warrant that you have the right to submit this data and that such submission complies with all applicable laws and regulations.

5.2 Research Results

The Service generates intelligence reports containing publicly available information about target companies. These results are:

Stored in your account for 30 days minimum (cached results may persist longer)
Accessible only to authenticated users within your organization
Attributed with source links to original information sources
Assigned confidence scores reflecting data quality and verification

5.3 Third-Party AI Services

The Service utilizes OpenAI's API to generate intelligence reports. When you submit a research request:

Your input data (domain, context, requirements) is transmitted to OpenAI's servers
OpenAI processes this data in accordance with their Terms of Use and Privacy Policy
OpenAI performs web searches to gather publicly available information
We do not control OpenAI's data handling practices beyond contractual agreements

By using the Service, you acknowledge and consent to this data transmission to OpenAI.

5.4 Data Retention

We retain your data as follows:

Account Information: Retained for the duration of your account plus 90 days following account closure for legal and operational purposes
Research Results: Retained for a minimum of 30 days (cached results) with no defined maximum retention period
Usage Logs: Request metadata retained for 90 days for billing, analytics, and security purposes
Billing Records: Retained for 7 years as required by tax and accounting regulations

5.5 Data Security

We implement industry-standard security measures including:

HTTPS/TLS encryption for data in transit
Bcrypt hashing for API key storage
Access controls and authentication via CodeIgniter Shield
Regular security monitoring and logging

However, no method of transmission or storage is 100% secure. You acknowledge the inherent risks of electronic data transmission.

5.6 Your Data Rights

You have the right to:

Access your research results and account data via the dashboard
Export your data in JSON format via the API
Request deletion of specific research results (subject to cache expiration)
Delete your account and associated data (with exceptions for legal obligations)

6. Subscription Plans and Billing

6.1 Plan Types

We offer multiple subscription tiers:

Free/Demo: Limited trial access with rate limits and no credit card required
Pay-As-You-Go (PAYG): Per-research pricing with no monthly commitment
Growth: Monthly subscription with included research credits and overage billing
Enterprise: Custom pricing with dedicated support and SLA agreements

6.2 Billing Cycles

Monthly subscriptions are billed in advance on a recurring basis. Your billing cycle begins on the date you subscribe and renews automatically each month unless canceled.

6.3 Credits and Usage

Included Credits: Monthly subscriptions include a specified number of research credits
Credit Deduction: One credit is deducted per research request (cached results are free)
Overage Charges: Usage beyond included credits is billed at the posted overage rate
Credit Expiration: Unused credits expire at the end of each billing cycle and do not roll over

6.4 Payment Terms

You agree to:

Provide valid payment information for paid plans
Authorize us to charge your payment method for all fees incurred
Update payment information promptly if it changes
Pay all charges in United States Dollars (USD)

We use Stripe as our payment processor. Your payment information is subject to Stripe's Privacy Policy and Terms of Service.

6.5 Failed Payments

If a payment fails:

We will attempt to process payment again within 7 days
Your account may be suspended if payment cannot be processed
You remain responsible for all outstanding charges
Service access will be restored upon successful payment

6.6 Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

You retain access to the Service through the end of your current billing period
No refunds are provided for partial billing periods
Unused credits are forfeited upon cancellation
Historical research results remain accessible for 30 days

We reserve the right to offer discretionary refunds on a case-by-case basis.

6.7 Price Changes

We may modify pricing at any time. Price changes will:

Be announced via email at least 30 days in advance
Take effect at the start of your next billing cycle
Not apply retroactively to existing subscriptions during the notice period

Continued use of the Service after a price change constitutes acceptance of the new pricing.

6.8 Free Trials

Free trial periods, when offered, are subject to the following:

Limited to one trial per organization or user
Require valid payment information (no charge until trial ends)
Automatically convert to paid subscription unless canceled before trial expiration
May be terminated or modified at our discretion

7. Intellectual Property

7.1 Service Ownership

Zadro.ai and its underlying technology, including but not limited to software, algorithms, prompts, user interface, branding, and documentation, are owned by Zadro Solutions, Inc. and protected by United States and international intellectual property laws.

7.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for your internal business purposes
Use research outputs generated by the Service
Integrate the API into your applications and workflows

This license terminates upon account closure or termination of these Terms.

7.3 Research Output Ownership

You own the research results generated through your use of the Service, subject to the following:

Results are derived from publicly available information and may not be unique to you
Source data (company information, news, statistics) remains subject to original copyright holders
You may use, modify, and incorporate results into your business processes
You may not resell raw research outputs as a competing intelligence service

7.4 Restrictions

You may not:

Copy, modify, or create derivative works of the Service
Reverse engineer or attempt to extract source code
Remove or alter any proprietary notices or branding
Use our trademarks without prior written permission
Frame or mirror any part of the Service

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without obligation to you, including for product improvements and marketing purposes.

8. Disclaimers and Limitations of Liability

8.1 Service "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Merchantability, fitness for a particular purpose, and non-infringement
Accuracy, completeness, or reliability of research results
Uninterrupted, timely, secure, or error-free operation
Freedom from viruses or harmful components

8.2 Data Accuracy Disclaimer

Research results are generated using AI models and publicly available information. While we implement confidence scoring and source attribution to promote accuracy, we do not guarantee:

The accuracy, completeness, or currentness of any intelligence report
That results are free from errors, omissions, or outdated information
Fitness for any specific sales, legal, or compliance purpose

You are responsible for verifying all information before relying on it for business decisions.

8.3 Third-Party Content

Research results include links to third-party websites and sources. We:

Do not control or endorse third-party content
Are not responsible for the accuracy or legality of third-party information
Are not liable for damages arising from your use of third-party sites

8.4 No Professional Advice

The Service provides information for general business intelligence purposes only. It does not constitute:

Legal, financial, or investment advice
Credit reports or background checks regulated by the Fair Credit Reporting Act
Consumer reports under federal or state law
Compliance with industry-specific regulations (FCRA, GDPR, CCPA, etc.)

Consult qualified professionals for advice specific to your situation.

8.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zadro Solutions, Inc. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Service interruptions, errors, or data loss
Reliance on inaccurate or incomplete intelligence reports
Third-party conduct or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8.6 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including:

Natural disasters, pandemics, or acts of God
War, terrorism, or civil unrest
Government actions or regulations
Internet or telecommunications failures
Third-party service outages (OpenAI, hosting providers, payment processors)

9. Indemnification

You agree to indemnify, defend, and hold harmless Zadro Solutions, Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property or privacy rights
Your submission of false, misleading, or unlawful input data
Claims that your use of research results caused harm to third parties

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

10. Termination

10.1 Termination by You

You may terminate your account at any time through the account settings page. Termination is effective at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

You breach these Terms or our Acceptable Use Policy
You fail to pay fees when due
Your account is subject to legal process or government investigation
We are required to do so by law
Continued provision would harm us or other users

10.3 Effect of Termination

Upon termination:

Your license to use the Service ends immediately
Outstanding fees become due immediately
We may delete your account data after 30 days
Provisions regarding intellectual property, disclaimers, liability, and dispute resolution survive termination

10.4 No Refunds on Termination

We do not provide refunds or credits for partial billing periods if your account is terminated for Terms violations.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@zadro.ai to attempt informal resolution. We will attempt to resolve disputes within 30 days.

11.2 Binding Arbitration

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association, rather than in court, except that:

You or we may seek injunctive relief in court for intellectual property infringement
Claims in small claims court are permitted

Arbitration shall be conducted in Chicago, Illinois unless otherwise agreed. Each party shall bear its own costs.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

11.4 Opt-Out

You may opt out of arbitration by sending written notice to legal@zadro.ai within 30 days of first accepting these Terms.

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

12.2 Entire Agreement

These Terms, together with our Privacy Policy and any posted guidelines, constitute the entire agreement between you and Zadro Solutions, Inc. regarding the Service.

12.3 Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be announced via email or dashboard notification. Continued use after modifications constitutes acceptance of the updated Terms.

12.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

12.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

12.6 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

12.7 Notices

Notices to you may be sent to the email address associated with your account and are deemed delivered 24 hours after sending. Notices to us must be sent to legal@zadro.ai.

12.8 Export Compliance

You agree to comply with all applicable export and import laws. You represent that you are not located in, or a resident of, any country subject to U.S. trade embargo or on any U.S. list of prohibited parties.

12.9 Government Users

If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101 and is provided with only those rights granted to commercial end users.
